Bulk sales, demystified.

What is a bulk sale?

In California, a bulk sale is generally a sale of more than half of a business’s inventory and equipment, measured by value, outside the ordinary course of business. When the rules apply, notice has to be given publicly before the sale so the seller’s creditors have a chance to come forward.

Why does a notice have to be recorded and published?

The notice mainly protects the buyer. Recording it with the county and publishing it in a newspaper of general circulation on the required timeline — generally at least 12 business days before the sale date — gives creditors a defined window to make a claim. Those claims then get handled through escrow, instead of following the assets to their new owner.

Do you handle liquor license transfers?

Yes. An alcoholic beverage license transfer runs through its own escrow with an independent escrow holder, and California sets specific rules for how those funds are held and paid out. We coordinate that alongside the business sale so the two move together.

How long does a business escrow take?

It depends on the notice period, any license approvals, and how quickly conditions get met. Many of our escrows close in about 30 days. Transactions involving an ABC license typically run longer, because the agency’s review sets the pace rather than the parties.

What do you need from me to open escrow?

The purchase agreement, contact information for everyone involved, and details on what’s being transferred — inventory, equipment, licenses, and any leases. We’ll tell you exactly what else is needed as the file develops. You won’t have to guess.

Do you only work in the Coachella Valley and the mountains?

Those are home — our offices are in Cedar Glen and La Quinta — but we’re licensed to handle escrows throughout California.

How do I protect myself from wire fraud?

Call our office at a number you’ve verified independently and confirm the wiring instructions by voice before you send anything. We will never email you new or changed wire instructions out of the blue. If you receive an email like that, stop and call us.
